B-Requisite Terms of Business

These Terms of Business apply to all services supplied by B-Requisite, including bespoke bars, stands, installations, event logistics, courier services, trained bar staff and mixologists.

By confirming a booking, accepting a quote, paying a deposit, instructing work to proceed, or using B-Requisite's services, the client agrees to these terms.

1. Definitions

B-Requisite means the supplier providing the services.

Client means the person, company, agency, venue or organisation requesting or purchasing the services.

Services means any work supplied by B-Requisite, including design, build, installation, transport, courier work, bar staffing, mixology services, event support and associated project management.

Event Date means the date on which the event, delivery, installation, collection, staffing shift or project activity is scheduled to take place.

Booking means a confirmed instruction to proceed, whether confirmed by signed quote, written approval, email confirmation, online quote acceptance, payment of deposit or other written instruction.

2. Quotes and Booking Confirmation

All quotes are valid for the period stated on the quote. If no validity period is stated, the quote is valid for 14 days.

A booking is not confirmed until B-Requisite has received written acceptance of the quote and the required deposit.

B-Requisite may withdraw or revise a quote before booking confirmation if costs, availability, materials, staffing, transport requirements or project scope change.

Any client instruction to proceed verbally, by email, by message, through an online approval link, or by payment of deposit may be treated as authority to begin work.

3. Payment Terms

Unless otherwise agreed in writing, payment is due as follows:

  1. 10% deposit payable at booking
  2. 40% payable no later than 7 days before the Event Date
  3. 50% final balance payable within 14 days after the Event Date or completion of the services

Where a job is booked less than 7 days before the Event Date, B-Requisite may require the deposit and second payment together before the booking is confirmed.

Where a job is booked less than 48 hours before the Event Date, B-Requisite may require full payment in advance.

B-Requisite is not required to begin work, release designs, assign staff, dispatch drivers, purchase materials, or attend site until the relevant payment stage has been received.

All amounts are payable in pounds sterling unless otherwise agreed.

4. VAT

B-Requisite is not currently registered for VAT and therefore does not charge VAT.

If B-Requisite becomes VAT registered, VAT will be charged at the applicable rate from the effective registration date. Quotes and invoices issued after that date will state the VAT treatment clearly.

5. Late Payment

Invoices must be paid by the due date shown on the invoice.

If payment is late, B-Requisite may:

  • pause or cancel further work;
  • withhold delivery, attendance, installation, staffing or collection;
  • suspend further bookings;
  • charge interest and reasonable recovery costs;
  • require advance payment for future work.

For business clients, B-Requisite may charge statutory interest and debt recovery costs on late commercial payments where applicable.

6. Scope of Work

The quote describes the agreed scope of work.

Anything not expressly included in the quote is excluded unless agreed in writing.

Additional work, changes, delays, waiting time, extra journeys, additional staff, revised build requirements, late changes, site restrictions, out-of-hours work or additional materials may result in extra charges.

B-Requisite will notify the client where reasonably practicable before incurring significant additional costs. However, where urgent operational decisions are required to protect delivery of the event, B-Requisite may act reasonably and charge the resulting costs.

7. Client Responsibilities

The client is responsible for providing accurate and timely information, including:

  • event date and timings;
  • venue address and access details;
  • site contacts;
  • delivery and collection windows;
  • loading restrictions;
  • floorplans, dimensions and technical requirements;
  • brand guidelines and artwork;
  • health and safety information;
  • stock, product and equipment information;
  • any licences, permits or venue permissions required.

B-Requisite is not responsible for delay, failed delivery, additional cost or reduced service quality caused by incomplete, inaccurate or late information from the client.

8. Changes and Cancellations

Any requested change to scope, timing, location, staffing, transport, design, materials or delivery requirements must be confirmed in writing.

B-Requisite will confirm whether the change is possible and whether additional charges apply.

If the client cancels a confirmed booking, cancellation charges may apply. Unless otherwise agreed in writing:

  • the 10% deposit is non-refundable;
  • cancellation less than 7 days before the Event Date may result in the second payment becoming payable;
  • cancellation less than 48 hours before the Event Date may result in the full quoted amount becoming payable;
  • any committed costs, purchased materials, subcontractor costs, staffing costs or transport costs already incurred are payable by the client.

Postponement is treated as a change request. B-Requisite will try to move the booking where possible, but availability is not guaranteed.

9. Bespoke Builds, Bars, Stands and Installations

For bespoke builds, bars, stands, displays and installations, the client must approve the design, specification, materials, dimensions and branding before production begins.

Once production has started, changes may not be possible or may incur additional costs.

B-Requisite will use reasonable skill and care to produce the agreed build. Minor variations in finish, colour, dimensions, materials or construction may occur where they do not materially affect the purpose or appearance of the work.

The client is responsible for ensuring that the venue allows the proposed installation and that all required access, permissions, loading arrangements and site rules have been confirmed.

Unless expressly agreed, B-Requisite does not provide structural engineering certification, venue permissions, event licences, alcohol licences, electrical certification, fire certification or local authority approvals.

Ownership of bespoke items remains with B-Requisite until all invoices relating to the job have been paid in full.

10. Bar Staff and Mixologists

B-Requisite may supply trained bar staff, mixologists, bar managers and event service teams.

The client must provide accurate shift times, venue details, expected guest numbers, service style, product information, drinks menus and any required training or brand information.

Unless expressly included in the quote, the client is responsible for providing stock, glassware, ice, garnishes, bar equipment, tills, payment systems, water access, waste facilities and any required alcohol licence or temporary event notice.

Staff must be provided with safe working conditions, reasonable breaks, access to drinking water and any legally required welfare facilities.

Additional hours, late finishes, extended service, additional staff requirements or unreasonable waiting time may be charged separately.

B-Requisite reserves the right to remove staff from unsafe, abusive, unlawful or unlicensed working conditions.

11. Courier, Transport and Event Logistics

B-Requisite provides specialist courier, transport and logistics support for the drinks industry and event sector.

The client must provide accurate collection and delivery details, including:

  • full addresses;
  • contact names and mobile numbers;
  • collection and delivery windows;
  • item descriptions;
  • dimensions and weight;
  • photos where requested;
  • loading requirements;
  • access restrictions;
  • parking/loading information;
  • fragile, high-value, refrigerated or regulated goods information.

Quotes are based on the information provided. Incorrect or incomplete information may result in additional charges or refusal of collection.

Unless expressly agreed, the client is responsible for ensuring items are suitably packed, safe to transport and lawful to move.

Waiting time, failed collection, failed delivery, additional mileage, parking, tolls, congestion charges, ULEZ charges, loading delays, out-of-hours access and additional handling may be charged separately.

Proof of delivery may include timestamped status updates, photographs, recipient name, signature or written confirmation.

B-Requisite is not liable for delays caused by traffic, road closures, venue access issues, weather, breakdown, third-party delay, incorrect information or circumstances outside its reasonable control.

12. Files, Artwork and Brand Assets

The client is responsible for supplying suitable artwork, logos, brand files, specifications and approvals.

B-Requisite is not responsible for poor print or production outcomes caused by low-quality, incorrect or late files supplied by the client.

The client confirms that it has the right to use any artwork, logos, designs, images, fonts, brand materials or intellectual property supplied to B-Requisite.

13. Health and Safety

B-Requisite will take reasonable care when providing services.

The client must ensure that venues and sites are safe, accessible and suitable for the agreed work.

B-Requisite may refuse, pause or amend work where conditions are unsafe, unlawful, inaccessible or materially different from those described by the client.

The client must notify B-Requisite of site risks, manual handling issues, restricted access, hazardous materials, electrical requirements, fire restrictions, licensing requirements and any venue-specific safety rules.

14. Insurance and Liability

B-Requisite will maintain appropriate business insurance for its operations.

The client is responsible for event insurance, public liability insurance for the event, venue insurance, stock insurance and insurance for client-owned goods unless otherwise agreed in writing.

B-Requisite's liability is limited to the amount paid by the client for the relevant job, except where liability cannot legally be limited.

B-Requisite is not liable for indirect loss, loss of profit, loss of revenue, reputational loss, loss of opportunity, consequential loss or third-party claims arising from the client's event.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot legally be excluded.

15. Delays and Events Outside Reasonable Control

B-Requisite is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, traffic disruption, road closures, accident, breakdown, venue restriction, supplier failure, illness, industrial action, power failure, emergency, government restriction or force majeure event.

Where possible, B-Requisite will take reasonable steps to reduce disruption.

16. Subcontractors and Suppliers

B-Requisite may use subcontractors, drivers, freelancers, fabricators, printers, production suppliers or specialist personnel where appropriate.

B-Requisite remains responsible for managing the service unless otherwise agreed.

17. Photography and Portfolio Use

Unless the client objects in writing before the event, B-Requisite may photograph completed work and use images of the build, installation or event setup for portfolio, website, social media and marketing purposes.

B-Requisite will not intentionally disclose confidential commercial information.

18. Confidentiality

Both parties must keep confidential information private and use it only for the purpose of delivering the agreed services.

This includes pricing, project documents, brand plans, event details, customer information and commercially sensitive information.

19. Data Protection

B-Requisite may process contact details, booking information, payment information, delivery details and project records to provide services and manage the client relationship.

B-Requisite will handle personal data in accordance with applicable data protection law.

20. Disputes

If a dispute arises, both parties should first try to resolve it promptly and commercially.

The client must raise any issue with the services as soon as reasonably possible and, where possible, during the event or job so that B-Requisite has an opportunity to resolve it.

Disputes do not remove the client's obligation to pay undisputed amounts by the due date.

21. Governing Law

These terms are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction unless otherwise agreed in writing.

22. Service-Specific Payment Summary

For all B-Requisite services, unless otherwise agreed in writing:

At booking: 10% deposit

7 days before the event/job: 40% payment

Within 14 days after event/job completion: 50% final balance

For urgent courier jobs, short-notice bookings, high-cost materials, large staffing bookings or bespoke builds, B-Requisite may require a higher upfront payment or full payment in advance.
